Any dispute arising from or related to these Terms, your use of our services, or your investment relationship with Bryxondel Finance Inc. shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the rules of the Canadian Arbitration Association. Each party shall bear its own legal costs unless the arbitrator determines otherwise. This arbitration clause does not apply to claims brought before securities regulatory bodies or for enforcement of regulatory decisions.
These Terms and all related agreements are governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, any investment agreement, subscription documents, and prospectus, constitute the entire agreement between you and Bryxondel Finance Inc. regarding our services. Any prior negotiations, understandings, or agreements are superseded. No oral modifications or representations are valid unless confirmed in writing by an authorized officer of Bryxondel Finance Inc.
